This agreement is between West Trade Interiors, LLC (referred to as “West Trade Interiors” or “Designer”) and Kevin S ("Client"). The purpose of this agreement is to define the scope of work and the schedule of payments agreed upon by both parties.

This letter confirms our agreement for design consultation services to be performed by West Trade Interiors at
123 Main St GSO, NC 12345 with respect to the areas specifically identified in the “Scope of Work” paragraph, below.
Scope of Work
Areas to be designed: Design oversight, approvals and general specifications for bedroom. West Trade Interiors shall design and specify interior and exterior finishes and materials to support a style that is inviting, long lasting and durable. Our goal is to create a classic and comfortable setting for family living and entertaining guests. We will also incorporate a neutral pallet for a timeless look with hints of color in key places. Complete written specifications will be provided for all listed interior and exterior items as defined above. West Trade Interiors acknowledges that the Client’s builder has proprietary relationships that may include pricing benefits. These vendors will be utilized when requested in advance and the builder or Client directly purchases all materials from said vendors.
90 Day Construction Consultation Process:
Phase One – Client shall provide designer with existing samples or images of any previous purchases or items under consideration. Client shall also provide any photos they wish to be used as design inspiration (Houzz, Pinterest, Magazine pages, etc.) Client shall also declare chosen vendors where preference exists (cabinet maker, etc.)
Phase Two – West Trade Interiors’ Internal Design Development
Phase Three – West Trade Interiors presents designs and Client makes final selections. Specifically, West Trade Interiors shall present and owners shall decide upon exterior palate including shingle color, house color, window color and exterior doors. West Trade Interiors Designer shall present and Client shall decide upon basic interior finish materials that will create the overall design direction. This will include flooring in all areas, cabinetry layout and finishes, countertops, interior paint, plumbing, electrical, interior doors and all hardware. The scope of work contemplated by this Agreement includes one initial 2 hour meeting and one follow up 2 hour meeting allotted for any confirmations or reselections.
Phase Four – West Trade Interiors presents documentation of final selections to builder and Client.
Included in this ninety-day process are up to 3 researched selections for each specification needed, up to 2 local shopping trips to see materials, and up to 2 in person design meetings.
The Deliverables set forth herein are collectively referred to as the “Construction Design Deliverable.”
Fee: For the professional design services described, West Trade Interiors, LLC shall receive a fixed fee of 175 based on a price of $4.12 per square ft, payable in full upon the execution of this agreement.
Additional services outside the scope of this agreement provided by West Trade Interiors will be billed to the Client at the hourly rate of $ 175 per hour. These services include, but are not limited to, project management, ordering, delivery coordination, and other non-design specific services. If the Client wishes to pay with a credit or debit card, a 3.5% processing fee will be added.
Purchasing: At Client’s request, merchandise will be purchased by West Trade Interiors, LLC, and a separate purchasing agreement will be presented to Client for approval, signature and payment. Purchase orders will not be issued until the Client has approved, signed and returned a copy of the written purchasing agreement to the Designer, along with the indicated deposit or payment. Client may elect to purchase merchandise directly from retail vendors, however, billing disputes, delivery schedules, and quality issues arising from these purchases remain the sole responsibility of the Client. Upon request, West Trade Interiors, LLC will make reasonable attempts to assist Client in resolving problems and bill accordingly at West Trade Interior’s normal hourly rate.
Designer Rights: As West Trade Interiors requires a record of West Trade Interiors’ design projects, the Client will permit West Trade Interiors or its representatives to photograph/video the Client’s project. West Trade Interiors will be entitled to use photos/video for West Trade Interiors business purposes. West Trade Interiors reserves the right to share on social media (including without limitation facebook, instagram, pinterest and twitter) images and descriptions of any work and/or services that West Trade Interiors performs for the Client, including without limitation images and descriptions of design concepts, works in progress, finished projects, installations and furnishings. Notwithstanding the foregoing, West Trade Interiors shall not disclose on social media the Client’s specific address or the Client’s name without his or her prior consent. To the extent that the Client publishes on any social media images or descriptions of West Trade Interiors’ work and services that West Trade Interiors performs, including without limitation images and descriptions of design concepts, works in progress, finished projects, installations and furnishings, the Client shall not tag West Trade Interiors or its owners or employees without West Trade Interiors consent. Furthermore, if Client publishes on social media images or descriptions of West Trade Interiors’ work and services that West Trade Interiors performs for the Client, the Client will notify West Trade Interiors within 24 hours and, if West Trade Interiors so elects, the Client shall tag West Trade Interiors in his or her social media post.
Force Majeure: West Trade Interiors may, from time to time, be prevented from the timely performance of services required by this agreement by reason of factors or conditions beyond the control of West Trade Interiors that render impracticable West Trade Interiors’ ability to perform services during the period the factors or conditions remain in effect, including, but not limited to Acts of God, floods, pandemics, fires, hurricanes, tornados, strikes, storms, labor shortages, supply chain issues, logistical issues, or labor disputes (individually and collectively, a “Force Majeure Event”). In the event of an interruption due to a Force Majeure Event, West Trade Interiors will make a reasonable effort to give timely notice to the client of the Force Majeure Event giving rise to the interruption and will arrange a schedule, in consultation with the client, for the performance of the services required once the Force Majeure Event ceases. During the period that the Force Majeure Event prevents West Trade Interiors from timely performing the services or delivering or installing products, said interruption as described in this section will not constitute a failure to perform by West Trade Interiors under this Agreement, and will not give rise to the client’s rights of termination stated below.
Cancellation: Either party, upon written notice, may terminate this agreement, should the other party fail to perform in accordance with the terms of this agreement. West Trade Interiors shall be compensated for all purchases made at the request of the client and all design services, performed prior to notice of the termination, at the hourly rate of $ 225 for designer.
